01

Acceptance of terms

These Terms of Service govern use of the Wasatch Mountain Concierge marketing website and interactions with iRyde LLC related to requests, quotes, accepted concierge or vehicle services, transportation by iRyde, Annual Pass activity, customer accounts and operational communications. By using the website or submitting information through an applicable operational experience, you agree to the terms that apply to that use.

02

Business identity and service scope

iRyde LLC is the legal operator. Wasatch Mountain Concierge is its registered DBA and primary public-facing brand. Extreme Concierge provides individually reviewed custom assistance. Vehicle Acquisition & Sale Concierge provides specialized client-side assistance. iRyde supports dispatch and mobility coordination when drivers or transportation are involved. iRyde OS is the independent operational system used for requests, reservations, dispatch functions, customer accounts and related communications.

03

Informational website use

The marketing website provides general service information and an orientation to the request process. Website content is not a quote, an acceptance of a request, a guarantee of service, or a promise that a particular provider, driver, vehicle, itinerary, item or outcome will be available.

04

Making a request

A submitted request begins an evaluation; it does not confirm service. Requests are reviewed individually, and timing and availability depend on the nature of the request. We may request additional information before deciding whether to proceed.

05

Review, quotes, confirmation and payment

When appropriate, the business reviews the request and issues a quote. The customer must confirm the quote and complete the applicable payment process before service is confirmed. The specific quote, confirmation and applicable account terms control the price, scope, included work, payment schedule and other request-specific details.

06

Availability and acceptance

Wasatch Mountain Concierge may accept, decline or propose changes to a request based on scope, legality, authorization, resources, provider availability, timing, safety and other relevant considerations. No request is guaranteed to be accepted or completed merely because it was submitted or discussed.

07

Concierge services

Accepted concierge work may be performed directly, coordinated with another provider, or involve both approaches. Custom requests may be declined when they cannot be performed appropriately or lawfully. Property-related requests are individually reviewed and are not represented as a fixed property-management, emergency or access program.

08

Vehicle Concierge limitations

The client remains the buyer or seller of record. Wasatch Mountain Concierge is not presented as a dealership, does not hold client vehicle inventory, does not provide financing or act as a lender, and does not guarantee condition, price, purchase, acquisition, sale or outcome.

Inspections, title or registration work, VIN inspections, repairs, detailing, protective treatments and other specialized functions may be facilitated or coordinated with appropriate third parties. The customer remains responsible for reviewing and approving the transaction and specialist work applicable to the objective.

09

Transportation by iRyde

iRyde is the dispatch and mobility-coordination capability used when a request involves drivers or transportation. A request does not guarantee a driver, vehicle, route, pickup time or availability. Customers and passengers must provide accurate itinerary and contact information, be ready at the confirmed time and location, and comply with reasonable safety and conduct requirements.

10

Annual Pass and loyalty

Current Annual Pass levels, ride-spend allowances, Expansion Packs, renewal-dependent rollover and loyalty benefits are described on the Annual Pass page and may also be governed by applicable account, quote or purchase terms.

Annual Pass transportation remains subject to request review, advance-booking requirements, availability, cancellation and no-show rules, fees and level-specific conditions. The 4 Pack is a distinct six-month, four-trip product and does not automatically receive annual-pass allowance, Expansion Pack, rollover or loyalty treatment.

Review the current Annual Pass program.

11

Customer responsibilities

Customers must provide accurate and complete information; maintain the confidentiality of account credentials; promptly communicate relevant changes; obtain authority to provide information about passengers, guests, vehicles, property or transactions; comply with laws and safety instructions; and pay agreed charges.

The passholder is responsible for reservations made under the passholder account and for the conduct of family members and guests using those benefits. Customers are responsible for damage or additional costs caused by themselves or their guests to the extent established by the applicable service terms and law.

12

Third-party providers

Some accepted services require an independent transportation provider, inspector, repair facility, title or registration provider, detailer, delivery provider or other specialist. Relevant information may be shared so that provider can evaluate, coordinate or perform its portion of the service. Third-party work may be governed by additional provider terms, charges and limitations.

13

Changes, cancellations, no-shows and wait time

Request-specific change and cancellation terms communicated with a quote or confirmation apply. For Annual Pass transportation, cancellation within 24 hours of the scheduled pickup is charged the full reservation amount; a passenger not found after 30 minutes is treated as a no-show; and wait time is charged at $1 per minute.

Changes to timing, route, stops, passenger count, requested vehicle or scope may affect price and availability. Third-party costs already committed may remain payable when allowed by the applicable terms.

14

Fees and payment responsibilities

Customers are responsible for charges accepted through a quote, confirmation, account or purchase flow, including applicable service costs, additional stops, wait time, meet-and-greet or time-specific fees, third-party charges, damage charges and other disclosed amounts.

VIP and Elite Annual Pass levels include a meet-and-greet fee waiver. Executive blackout periods include December 24–25, December 31 and the July 4 weekend/day. No Executive early/late-fee waiver is promised in these general Terms while the applicable level rule remains under operational clarification.

15

SMS Messaging Terms

If you provide a mobile number and opt in through the applicable iRyde OS or transportation workflow, you consent to transactional and operational SMS communications related to requested or accepted transportation services. Messages may include reservation confirmations, pickup reminders, driver-arrival notifications, dispatch updates, flight or schedule updates and customer-service communications.

Message frequency varies according to reservation activity and service use. Message and data rates may apply. Reply STOP to opt out. After opting out, you will no longer receive SMS communications unless you opt in again. Reply HELP or INFO for assistance, or use the phone number or email address below.

SMS consent is not shared with third parties or affiliates for their marketing purposes. SMS consent is optional, and customers may request or use services without consenting to SMS where operationally applicable. Opting out may limit operational text updates but does not automatically cancel an underlying request or confirmed service. Carriers are not responsible for delayed or undelivered messages.

16

Prohibited use

You may not use the website, iRyde OS or a service interaction to violate law; submit false, misleading or unauthorized information; interfere with systems or accounts; attempt unauthorized access; misuse another person’s information; threaten or harass staff, providers or passengers; or request unlawful or unsafe activity.

17

Service disclaimers

Services, schedules, routes, vehicles, third-party availability and requested outcomes can be affected by weather, traffic, mechanical issues, flight changes, provider availability, legal requirements and other circumstances. Except for obligations expressly accepted in a confirmed quote or required by law, website descriptions and preliminary communications do not create a guarantee of availability, completion or outcome.

18

Limitation of liability

To the extent permitted by applicable law, responsibility for a claim relating to a service is limited by the confirmed service terms, the role actually performed by iRyde LLC and any rights that cannot lawfully be excluded. iRyde LLC is not responsible for independent third-party acts outside its reasonable control or for indirect losses that were not a reasonably foreseeable result of its conduct.

Transportation customers remain responsible for personal belongings. Any request involving alleged loss, damage, injury or service failure should be reported promptly so the circumstances and applicable provider responsibilities can be reviewed.

19

Governing law and disputes

These Terms and disputes concerning the website or services are governed by applicable law, including the laws of the State of Utah where permitted. Before initiating formal proceedings, customers are encouraged to contact us with a description of the concern so the parties can attempt to resolve it. Any final dispute, venue or arbitration language requires legal review before publication.

20

Changes to these terms

Services, systems and business practices may change, and these Terms may be updated accordingly. The current version will display its last-updated date. Request-specific terms already accepted remain governed by the applicable quote, confirmation or agreement unless changed by agreement or law.
